RCCS Care Talent Introduction Terms
Please read every section before completing the acknowledgments and electronic signature.
1. RCCS Is a Third-Party Introduction Service
RCCS provides a third-party Care Talent connection and introduction service.
RCCS is not the employer of the Care Talent Candidate and does not become the
Candidate's employer by facilitating an introduction.
RCCS does not hire, employ, schedule, supervise, direct, discipline, compensate,
provide payroll for, or provide employee benefits to Care Talent Candidates.
Any employment or other lawful professional relationship resulting from the
introduction is solely between the Client and Candidate.
2. Candidate Availability and Interest
Before the introduction proceeds, RCCS will make reasonable efforts to confirm
that the selected Candidate is currently available and interested in learning
more about the Client's specific opportunity.
Candidate availability can change at any time. A Candidate's confirmation of
availability or interest does not constitute acceptance of employment and does
not guarantee that the Candidate will interview, accept an offer, begin work,
or remain employed by the Client.
3. RCCS Introduction Fee
The Client agrees to pay the RCCS Care Talent Introduction Fee displayed in this
agreement for the specific Candidate identified above.
There is no charge to browse the RCCS Care Talent Network or request an availability
verification. The introduction fee is payable only after the Candidate's interest
has been confirmed and this Client Agreement has been electronically signed.
A signed Client Agreement is required before payment.
If payment is submitted before the applicable agreement has been signed,
the payment will be refunded and the introduction will not proceed until
the required agreement is completed.
RCCS will not release the Candidate's direct contact information or authorized
Candidate file until the applicable introduction fee has been paid.
4. What the Introduction Fee Includes
Following payment, RCCS may provide the Client with Candidate information
authorized for hiring consideration, which may include:
- Candidate name and direct contact information;
- resume or employment-history information supplied by the Candidate;
- Candidate-provided qualifications, experience or credential information;
- documents the Candidate has authorized RCCS to release; and
- facilitation of the initial direct connection between Client and Candidate.
The fee compensates RCCS for maintaining the Care Talent Network, presenting the
Candidate, confirming current interest, administering the introduction process,
and facilitating the connection.
5. 90-Day Connection Protection
The Candidate introduction is protected for 90 days beginning on the date RCCS
first releases the Candidate's direct contact information or otherwise facilitates
a direct introduction between the Client and Candidate.
The 90-Day Connection Protection Period applies only to the specific Client-Candidate
relationship covered by this introduction. If the Client, its owners, affiliates,
related facilities, managers, or representatives directly or indirectly employ,
contract with, engage, or otherwise retain the Candidate during the protection
period, the applicable RCCS introduction fee remains earned and payable.
The Client will not circumvent the RCCS introduction by delaying employment,
routing the Candidate through another entity or facility, directing the Candidate
to apply through another channel, or otherwise attempting to avoid the applicable
RCCS introduction fee.
6. Client Is Responsible for the Hiring Decision
The Client is solely responsible for determining whether a Candidate is appropriate
and legally eligible for employment or engagement.
The Client is responsible for all interviews, reference checks, background checks,
criminal-record clearances, credential verification, license verification, health
screening, TB testing, training verification, employment eligibility verification,
and other due diligence required by law, regulation, licensing authority, payer,
Regional Center, facility policy, or the position being offered.
7. Background, TB, License and Credential Information
Candidate profiles or Candidate information may contain information reported by
the Candidate regarding background eligibility, TB testing, certifications,
licenses, experience, education, training, or other qualifications.
Unless RCCS expressly identifies information as independently verified by RCCS,
the Client understands that such information may be Candidate-reported information.
The Client must independently verify information material to its hiring decision.
8. No Guarantee of Candidate Performance or Employment
RCCS does not guarantee Candidate performance, reliability, attendance, conduct,
competence, continued availability, acceptance of an employment offer, length of
employment, compatibility with the Client, or that the Candidate will satisfy the
Client's expectations.
After the introduction is completed, decisions concerning interviewing, hiring,
compensation, scheduling, supervision, workplace expectations, discipline,
accommodation, and termination are exclusively between the Client and Candidate.
9. Candidate Privacy and Confidential Information
Candidate information supplied by RCCS is provided solely for the Client's legitimate
evaluation of the Candidate for an employment or professional opportunity.
The Client agrees not to publicly post, sell, distribute, publish, or disclose
Candidate contact information, identification documents, resumes, or other private
Candidate information except as reasonably necessary for lawful hiring, onboarding,
employment, credentialing, or regulatory purposes.
10. Employment Practices and Nondiscrimination
The Client is solely responsible for complying with applicable federal, state,
and local employment laws. The Client agrees not to request that RCCS exclude,
select, or reject Candidates based on unlawful discriminatory criteria.
If the Client believes a particular job assignment lawfully requires a specific
qualification or bona fide occupational qualification, the Client is responsible
for determining and documenting the lawful basis for that requirement.
11. Candidate Withdrawal Before Introduction
If the selected Candidate withdraws or becomes unavailable before RCCS releases
the Candidate's direct contact information or authorized Candidate file, RCCS will
not consider the introduction completed.
If payment has already been received but the introduction has not yet occurred,
RCCS may refund the payment or, with the Client's agreement, apply the payment toward
another RCCS Care Talent introduction.
12. Fee Becomes Earned After Introduction
Once RCCS releases the Candidate's authorized direct contact information or otherwise
completes the direct introduction, the RCCS introduction service has been performed
and the applicable introduction fee is earned.
The fee is for the introduction service and is not dependent on whether the Candidate
is ultimately hired or remains employed for a particular period.
13. Reporting a Connection Concern
The Client may contact RCCS if a significant issue arises relating to a Candidate
introduced through the RCCS Care Talent Network.
RCCS may review information for purposes of administering its own network and
determining continued network eligibility. Any RCCS review is not a legal
determination, employment investigation, criminal finding, licensing determination,
or adjudication of responsibility.
14. No Exclusivity
The Client is not required to use RCCS exclusively. Care Talent Candidates are not
exclusive to RCCS and may seek, consider, or accept opportunities independently
or through other sources.
15. Limitation of RCCS Role
RCCS's role is limited to facilitating the Care Talent introduction unless RCCS and
the Client separately agree in writing to additional services. RCCS does not manage
the employment relationship and does not become a party to any employment agreement
between the Client and Candidate.
16. Electronic Communications and Signatures
The Client agrees to conduct this transaction electronically. By electronically
signing and submitting this Agreement, the person signing represents that they are
authorized to enter into this Agreement on behalf of the Client.
The electronic signature is intended to have the same legal effect as a handwritten
signature to the extent permitted by applicable law. RCCS may maintain electronic
records associated with the transaction, including the date and time of submission
and technical information reasonably used to document the transaction.
17. California Law
This Agreement will be governed by applicable California law, without expanding
or limiting any right or remedy that cannot lawfully be waived or modified.
18. Entire Agreement; Severability
This Agreement constitutes the agreement between RCCS and the Client regarding the
specific Care Talent introduction identified above. Any amendment must be in writing
or electronically agreed to by the parties.
If a provision is determined to be invalid or unenforceable, the remaining provisions
will continue to the extent permitted by applicable law.
