Consultant: Rosenthal Community Care Services LLC (“RCCS” or “Consultant”).

Client: The individual or facility / organization identified in this Agreement (“Client”). If an entity is identified, the signer represents that the signer is authorized to act for that entity.

Client engages RCCS to perform one prepaid Fire Pre-Inspection at the location identified above. The purpose is to provide a private readiness walkthrough and practical consulting support before an official fire inspection, fire-clearance visit, or similar authority review.

The purchased service is a Fire Pre-Inspection for up to two (2) hours at a prepaid fee of $500.00.

The two-hour service period is the maximum included on-site consulting time under this purchase unless RCCS voluntarily extends the visit or the parties separately agree otherwise in writing.

This Agreement does not create recurring billing, a subscription, an open-ended hourly engagement, or authorization to automatically charge Client for additional time or future visits.

If additional time, a return visit, written project work, remote follow-up consulting, contractor/vendor coordination, or another service is requested beyond the purchased scope, RCCS and Client must separately arrange or purchase that work.

During the purchased service, RCCS may review visible and reasonably accessible areas of the property and discuss matters that may relate to fire/life-safety readiness, licensing readiness, physical-plant preparation, evacuation considerations, exits and egress, doors, alarms or detection equipment, extinguishers, posted information, accessibility of routes, room configuration, documentation, correction items previously identified by an authority, and other preparation matters reasonably connected to Client's project.

RCCS may review documents, photographs, floor plans, prior inspection comments, correction notices, or other materials voluntarily provided by Client when doing so is reasonably possible within the purchased time.

The Fire Pre-Inspection is observational and advisory. RCCS is not required to perform destructive testing, open walls, test concealed systems, certify equipment, perform engineering calculations, inspect inaccessible areas, or perform work requiring a professional license RCCS does not hold.

Client understands that RCCS is not the fire department, fire marshal, fire prevention bureau, building department, licensing agency, code-enforcement agency, or other authority having jurisdiction.

The RCCS Fire Pre-Inspection is not an official government inspection and does not replace any required inspection, clearance, permit, certification, professional evaluation, or approval.

RCCS cannot issue a fire clearance, approve occupancy, waive requirements, bind a public agency, or determine how an inspector or authority will interpret or apply a requirement to Client's property.

RCCS may use published rules, regulations, guidance, code provisions, licensing materials, industry experience, prior project experience, and practical professional judgment when discussing readiness concerns or possible options with Client.

Where more than one practical approach may reasonably address a concern, RCCS may discuss alternatives that appear more efficient, less disruptive, or more cost-conscious while still seeking to remain within applicable published requirements.

Any option discussed by RCCS remains subject to Client's independent evaluation and, where applicable, review or approval by the authority having jurisdiction, a licensed contractor, architect, engineer, attorney, or other appropriately qualified professional.

RCCS does not guarantee that Client will pass an official fire inspection, obtain fire clearance, receive licensing approval, avoid corrections, obtain permits, satisfy a particular inspector, meet a particular completion date, or achieve any other regulatory or business outcome.

Official determinations remain solely with the applicable government agencies, inspectors, fire authorities, licensing authorities, building officials, permitting authorities, and other responsible third parties.

An official inspector may identify issues not observed by RCCS, interpret a requirement differently, request additional information, or require work beyond what was discussed during the Fire Pre-Inspection.

Client is responsible for providing RCCS with safe and reasonable access to the inspection location and for disclosing known conditions, prior inspection findings, correction notices, plans, permits, or other information that may materially affect the service.

Client remains responsible for all decisions concerning construction, repairs, equipment, permits, regulatory compliance, contractor selection, vendor selection, licensing submissions, expenditures, and implementation of any recommendation.

Client is responsible for obtaining licensed or otherwise qualified professionals whenever the work or opinion required is outside RCCS's consulting scope or legally requires a specific license.

The $500 Fire Pre-Inspection fee does not include repairs, construction work, installation, materials, equipment, permits, government fees, architectural or engineering services, contractor services, testing, certification, or third-party expenses unless expressly included in a separate written agreement.

RCCS may discuss or help coordinate with contractors, vendors, or other professionals when reasonably connected to the consultation, but Client remains responsible for selecting, hiring, approving, paying, supervising, and managing those third parties.

RCCS does not guarantee any third party's price, licensing status, insurance, availability, workmanship, schedule, performance, or conduct.

RCCS may decline to enter or inspect an area that appears unsafe, inaccessible, unsanitary, structurally unstable, actively under hazardous construction, occupied in a manner that prevents reasonable access, or otherwise unsuitable for a private consulting walkthrough.

The service is based on conditions visible or reasonably disclosed during the visit. Concealed, intermittent, inaccessible, undocumented, or subsequently changed conditions may not be identified.

Client understands that the usefulness of the pre-inspection depends in part on the completeness and accuracy of information and access provided to RCCS.

The appointment reserves RCCS professional time and may involve advance review, travel coordination, scheduling, and preparation.

Cancellation, rescheduling, refund eligibility, and any travel-related charges are subject to the RCCS Return, Refund & Cancellation Policy and any product-specific terms disclosed for the Fire Pre-Inspection purchase.

Unless the parties separately agree otherwise, RCCS's engagement under this Agreement is complete when the purchased two-hour Fire Pre-Inspection service has been performed.

Client and RCCS may communicate by phone, video, text, email, or other mutually accepted methods. This Agreement does not create guaranteed emergency response obligations or guaranteed response times.

Both parties agree to use reasonable efforts to protect non-public business, operational, financial, project-related, or proprietary information disclosed during the engagement.

RCCS retains ownership of its forms, checklists, frameworks, systems, methods, branding, templates, business processes, and general consulting work product. Materials supplied to Client may be used for Client's own project but may not be resold or commercially republished without RCCS's written permission.

RCCS acts solely as an independent contractor and private consultant. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, franchise, ownership relationship, or general agency relationship.

Unless separately agreed in writing, RCCS is not acting as a fire department, official inspector, government agency, architect, engineer, contractor, construction company, law firm, attorney, CPA, insurance provider, or other licensed profession outside RCCS's authorized scope.

Client should obtain appropriately licensed professional assistance whenever a matter requires such a professional license or regulated service.

To the fullest extent permitted by law, RCCS shall not be liable for indirect, incidental, consequential, special, punitive, speculative, or business-related damages, including lost profits, lost opportunities, licensing delays, inspection delays, construction delays, contractor issues, regulatory actions, business interruption, lost occupancy, or revenue loss.

To the fullest extent permitted by law, RCCS's total liability arising from the purchased Fire Pre-Inspection shall not exceed the amount paid by Client to RCCS for the Fire Pre-Inspection giving rise to the claim.

Nothing in this Agreement limits liability for fraud, willful misconduct, intentional wrongdoing, or liability that cannot legally be limited.

The parties agree to first attempt in good faith to resolve any dispute, claim, controversy, or disagreement arising from this Agreement or the Fire Pre-Inspection through informal discussion.

If the dispute cannot be resolved informally, the parties agree that the matter shall be resolved through binding arbitration in the State of California before a single neutral arbitrator, to the extent this provision is enforceable under applicable law.

Unless otherwise required by law or allocated by the arbitrator, the parties shall initially share arbitration administrative fees and arbitrator fees equally, subject to the arbitrator's final allocation of fees and costs.

The parties knowingly and voluntarily waive the right to a jury trial for disputes covered by this arbitration provision. The prevailing party may seek reasonable attorneys' fees and arbitration costs if awarded by the arbitrator or permitted by applicable law.

This Agreement represents the complete understanding between the parties concerning the purchased Fire Pre-Inspection and supersedes prior verbal discussions or informal understandings concerning that service. Any modification must be made in writing and acknowledged by both parties.

If any provision is determined to be invalid or unenforceable, the remaining provisions shall remain in effect. This Agreement is governed by the laws of the State of California.

This Agreement may be executed electronically and in counterparts. A valid electronic signature shall be treated as an original to the extent permitted by applicable law.
